Summary, etc. | The determinants of the presence of independent directors in French board companies The purpose of this paper is to study the determinants of the presence of independent directors on boards of directors. Based on the agency theory, we study the different factors influencing the nomination of independent directors. The tests were applied to a sample of 79 companies belonging to the SBF120 index, from 1999 to 2001. The results suggest that ownership concentration, the size of the company and institutional investors activism explain the presence of independent directors inside French board companies. |

Summary, etc. | Los determinantes de la presencia de los administradores independientes dentro de los consejos de administración de las sociedades francesas. Este articulo estudia los determinantes de la presencia de los administradores independientes dentro de los consejos de administración. En el ámbito de la teoría de la agencia, hemos buscado a determinar los factores explicativos de la nominación de los administradores independientes. Nuestro estudio ha sido efectuado con una muestra de 79 empresas del índice de SBF 120, en un período de tres aňos consecutivos, de 1999 a 2001. Los resultados han demostrato que la concentración del accionariado, la participación de los inversionistas institucionales en el capital y la dimensiòn de la empresa constituyen determinantes significativos de la presencia de los administradores en los consejos de las sociedades francesas. |
