| Summary, etc. | RésuméCe texte propose de construire une analyse institutionnaliste des investisseurs institutionnels fondée sur la notion de pouvoir de contrôle comme forme des relations financières, de transactions comme forme de coordination des décisions, et de souveraineté comme mode de gouvernement politique. Cette construction s’appuie sur le cadre théorique de l’action collective proposé par J.R. Commons. Le cas des investisseurs institutionnels permet de mettre en évidence les enjeux macro-institutionnels de la régulation de l’activité financière par les autorités publiques pour restaurer l’investissement dans une perspective de long terme.Classification du JEL : G29, L51, B52, L14 |

We propose to analyse the structure of Institutional Investors thanks to the work of John R. Commons with four dimensions: the epistemological foundations of finance as an institution; the models of governance structure based on the three forms of transactions proposed by Commons; Sovereignty as the mode of regulation of institutional investors. |
