| Summary, etc. | Cet article a pour objet de proposer une synthèse historique des trois vagues de fusions et acquisitions qu’ont connues les Etats-Unis (1887-1904, 1916-1929, 1950-1970). Cette mise en perspective historique permet de montrer la récurrence des facteurs macro-économiques (croissance économique, modifications de l’environnement technologique et industriel, élargissement géographique des marchés, etc.) et institutionnels (législation anti-trust, et vitalité boursière) dans l’explication de l’émergence, de l’ampleur et de la nature des vagues de fusions américaines. Cette recherche montre également que chaque vague de fusions a suscité des interrogations relatives à leur légitimité et à leur efficacité économique, tant au niveau micro-économique que macro-économique. Les interrogations que soulèvent les récentes opérations de fusions ne sont donc pas nouvelles et peuvent, dans certains cas, trouver un écho dans l’analyse des travaux réalisés sur les vagues précédentes. |

| Summary, etc. | The three merger waves in the United StatesThis paper aims at providing a review of research dealing with the three merger waves that the United States have experienced (1887-1904, 1916-1929, 1950-1970). This historical analysis shows the importance of macro-environmental factors (economic growth, changes in the technological and business environment, extension of the geographical covered market, etc.) and institutional factors (anti-trust regulation and buoyancy of the stock market) to account for the development, the magnitude and the nature of such merger waves. This study points out that each merger wave has been questioned regarding its legitimacy and its economic efficiency from a micro-economic as well as a macro-economic standpoint. Therefore, the issues regarding the performances of the current mergers are not new, and by taking into account analyses of the determinants of performance of earlier mergers, managers and investors could potentially avoid some of the pitfalls of the early merger movements. |
