| Summary, etc. | Cet article décrit l’évolution du système de corporate governance britannique passant d’un capitalisme individuel avant 1945 à un modèle proche des USA depuis quelques années. On retrouve dans les deux systèmes les mêmes préoccupations de court terme. Le récent développement du poids des investisseurs institutionnels a renforcé ces caractéristiques et posé quelques difficultés au maintien des droits de propriétés nationaux dans des industries cycliques et intensives en capital. |

| Summary, etc. | This article examines the evolution of British corporate governance from the personal capitalism prevailing before1945 to a US-style managerial capitalism in recent decades. It shows that British business displayed similar short-term deal-making characteristics under both corporate governance systems. The recent growth of institutional investors as shareholders has intensified these features and resulted in a governance system which makes it difficult for industries which are capital-intensive and cyclical to remain under British ownership. |
