Summary, etc. | La gouvernance du processus entrepreneurial est un élément clé de réussite ou d’échec des entrepreneurs. À partir d’un cas de reprise d’entreprise qui s’est soldée par un échec, notre recherche montre comment les biais de surconfiance et d’escalade de l’engagement peuvent amener l’entrepreneur à ignorer ou même neutraliser certains mécanismes de gouvernance disciplinaires et cognitifs. En conséquence, l’entrepreneur risque d’engager un processus entrepreneurial sans se doter des ressources financières et cognitives nécessaires à sa réussite, ainsi que d’aggraver une situation d’échec en différant l’arrêt du processus entrepreneurial. Le cas met en évidence le rôle des biais de surconfiance et d’escalade de l’engagement dans ce comportement. Notre recherche témoigne d’une possible fragilité des mécanismes de gouvernance du processus entrepreneurial en mettant en évidence les spécificités de la reprise comme mode d’entrée dans l’entrepreneuriat. |

Summary, etc. | Neutralizing governance mechanisms... and regretting it. A case of a firm takeover gone wrongThe governance of the entrepreneurial process is a key factor of success. Based on a case of a firm takeover that was followed by the firm’s bankruptcy, our research shows how the overconfidence bias and the escalation of commitments can lead the entrepreneur to ignore and even neutralize some standard or cognitive governance mechanisms, taking the risk of beginning the entrepreneurial process without the financial and cognitive resources required for success, and delaying stopping a failing entrepreneurial process. The case highlights the possible weaknesses of the entrepreneurial governances, focusing on the firms’ takeover as a mode of entering into entrepreneurship. |
