L’objectif est de mettre en évidence, à la suite de l’analyse de la documentation officielle soumise auprès des Autorités canadiennes en valeurs mobilières, certaines lacunes des composantes de gouvernance de la Compagnie de la Baie d’Hudson permettant à l’un de ses actionnaires importants d’exproprier les autres actionnaires. Le cas de la Compagnie de la Baie d’Hudson illustre notamment comment l’assujettissement des administrateurs peut faciliter cette expropriation. |

| Summary, etc. | This study aims to examine an example of the expropriation of minority shareholders by majority shareholders. Based on an analysis of official documentation the Hudson’s Bay Company submitted to the Canadian Securities Administrators, its objective is to highlight the shortcomings in the company’s governance in relation to its decisions to allow one of its major shareholders to expropriate the minority shareholders. The case of the Hudson’s Bay company illustrates in particular how the subjugation of directors can facilitate this expropriation. |
