| Summary, etc. | RésuméAprès en avoir exploré quelques définitions, cet article se propose d’examiner brièvement les liens entre les notions d’éthique et de gouvernance. La façon dont l’éthique peut s’intégrer au gouvernement de l’entreprise, afin de tendre vers une amélioration des pratiques, fait l’objet de nombreuses discussions et controverses. En France en particulier, certains dispositifs tels que Business Case et Best Practice peuvent séduire en raison de leur caractère pragmatique et opérationnel mais ils génèrent dans le même temps des réticences en raison de limites, notamment conceptuelles. Les témoignages de quatre entreprises de première importance nous fournissent une illustration de la variété des motivations, des approches et des pratiques en termes d’intégration de l’éthique au gouvernement de l’entreprise. Il en résulte un ensemble de questionnements relatifs, en particulier, à la manière de concilier l’exigence morale et l’exigence économique : par exemple, comment trouver un fondement normatif éthique à une gestion efficace des parties prenantes ? |

| Summary, etc. | After exploring some of their definitions, this article proposes to briefly examine the common ground between the concepts of ethics and governance.The way in which ethics can be included in corporate governance, with the aim of leading to better business practices, is the subject of a number of discussions and controversies. Particularly in France, devices such as "Business Case" and "Best Practice" can be very alluring because they look pragmatic and operational. However, at the same time their implementation is met with resistance because of their (mainly conceptual) limits.Testimonies of four first ranking companies provide us here with an illustration of the variety of motivations, approaches and practices in terms of integration of ethics to the government of the company.The result is a set of questions mainly relative to how to make moral and economic requirements match with one another : for instance, how could we find an ethical normative ground to manage the stakeholders efficiently? |
