| Summary, etc. | La mise en œuvre concrète du Pacte vert européen se poursuit. Les précisions apportées par le Conseil le 1er décembre 2022 permettent d’aborder plus précisément les questions managériales qui ne manqueront pas de se multiplier avec l’adoption du devoir de vigilance européen. L’accompagnement des entreprises par les pouvoirs publics, d’une part, et la réorganisation interne des entreprises, d’autre part, seront essentiels. Un nouveau type de contrôle, essentiellement contractuel, devra s’articuler avec le développement d’une nouvelle forme de publicité (nécessité de traiter les plaintes du public, de rendre les documents publics, de fonder le modèle d’affaire sur la science). La prochaine étape de ce débat concernera l’adoption de la position de négociation du Parlement, dans un contexte dans lequel les entreprises se repositionnent déjà en faisant évoluer leurs modèles d’affaires. L’objet de cette chronique est de résumer l’état du débat et d’exposer les principales questions qui se poseront aux managers et aux juristes dans ce domaine. |

| Summary, etc. | The implementation of the European Green Deal continues. The clarifications provided by the Council on December 1, 2022, allow us to address more precisely the managerial issues that are bound to multiply with the adoption of the European due diligence. The support of companies by public authorities, on the one hand, and the internal reorganization of companies, on the other, will be essential. A new type of control, essentially contractual, will have to be articulated with the development of a new form of publicness (need to deal with public claims, to make documents public, to base the business model on science). The next step in this debate will be the adoption of Parliament’s negotiating position, in a context in which companies are already repositioning themselves by changing their business models. The aim of this paper is to summarize the state of the debate and to expose the main questions that will arise for managers and lawyers in this field. |
