Summary, etc. | Le Foncier jouit d’une gouvernance originale qui peut nous inspirer car il a parfaitement rempli sa mission de financement de l’immobilier. Le fort conflit d’agence entre actionnaires privés et dirigeants nommés par l’État est résolu par un conseil d’administration très impliqué et l’obligation d’acheter un nombre important d’actions conservées en garantie de gestion. Les conflits des obligataires avec les dirigeants et les actionnaires sur le niveau de risque pris par la banque sont maitrisés par l’interdiction légale d’émettre des obligations sans des prêts de qualité en contrepartie, une publication mensuelle de son bilan et en imposant un « ratio de Bâle » de 5 %. |

The Crédit Foncier de France during the 19th century The Foncier benefits from unusual governance, which is a source of inspiration since it has amply fulfilled its real-estate financing mission. The strong agency conflict between private shareholders and state-appointed managers is resolved by a highly involved board and the need to buy a substantial number of shares held as guarantee for good management. Conflicts between bond holders and both managers and shareholders about the risk level taken by the bank are resolved by the legal prohibition on issuing bonds without quality loans as collateral, monthly publication of its balance sheet and imposition of a “Basel ratio” of 5 %. |
