| Summary, etc. | La sanction de l’inopposabilité du contrat ne se laisse pas aisément appréhender. Aussi est-il proposé dans cet article une approche empirique reposant sur la confrontation de deux inopposabilités issues de la réforme du droit des contrats afin d’en faire ressortir quelques traits saillants. L’analyse conjointe des sanctions du défaut de pouvoir de l’article 1156 du code civil et de la fraude paulienne de l’article 1341-2 révèle ainsi une dualité d’inopposabilités en raison d’une nature tantôt légale, tantôt judiciaire dont il résulte des différences de régime importantes. Pour autant, une unité peut être trouvée résidant dans la coexistence de deux situations juridiques opposées, celle dont profite le titulaire de l’inopposabilité et celle dans laquelle sont maintenus les autres, qu’il s’agisse des parties à l’acte ou des autres tiers. Ce dualisme juridique créé par l’inopposabilité entraîne le nécessaire recours à la fiction juridique. |

| Summary, etc. | The sanction of the inopposability of a contract is difficult to grasp. This article therefore proposes an empirical approach based on the comparison of two particular inopposibilities in order to determine the essential characteristics of this sanction. A joint analysis of the sanctions for lack of authority under article 1156 of the Civil Code and for fraud under article 1341-2 thus reveals a duality of inopposibilities, due to a nature which is sometimes legal, sometimes judicial, and which results in significant differences in regime. However, a unity can be found in these inopposibilities, residing in the coexistence of two opposed legal situations. There is the one from which the holder of the non-opposability benefits and the one in which the others are maintained. This legal dualism created by inopposability requires the use of legal fiction. |
