Top managers of listed companies are facing strong pressures coming from various stakeholder groups reacting to their main decisions publically communicated. These various pressures coupled with a deeper thinking on the nature of the corporate mission and role question the personal responsibility of these top managers. Whereas this question has been largely addressed by governance theories, this paper aims to characterize empirically, from top managers’ discourses, their main engagement logics reflecting, within their organizational context, the definition of their responsibilities.
