This paper presents the company law angle on corporate social responsibility (CSR). The aim is to show how both the hard law and soft law governing companies could be the foundation of CSR and provide the legal tools for promoting CSR and defending stakeholders likely to be mobilized within the firm. The aim is also to convince companies that taking into account the concerns of the stakeholders could contribute to long-term profits, strong success, and long-lasting development for the firm. In this respect, CSR could offer one of the best solutions if we are to emerge from the financial crisis and avoid future crises. From this perspective, the paper answers some important questions, including: 1) How to define the legal concept of “social interest?” 2) What could be the role of the company’s components (board of directors, management team, audit team, general assembly) and of the shareholders themselves in terms of CSR? And 3) Is there a link between CSR and transparency?
