The Board Structure and Governance Rules in Large Canadian Corporations (1997–2005)

In this article, I analyze the recent evolution of Canadian governance rules from the TSX rules to new governance rules approved in 2004 in a sample of twenty large Canadian corporations. I focus on the following topics linked to the concept of corporate governance: independent directors, roles of the CEO and the board chairperson, the various committees of the board of directors, the social and environmental concerns, and corporate philanthropic giving.
